    Investors evaluating auto repair businesses are less interested in what individual shops do than in whether a business can consistently deliver predictable results, according to an industry coach.

    Many shop owners misunderstand what attracts serious buyers and investors, explained Michael Herzberg Smith, a partner at the Institute for Automotive Business Excellence. Strong technical skill alone, he said, is not enough.

    “Investors don’t buy shops,” Smith said. “Investors buy predictable outcomes.”

    Speaking at the MWACA Hi‑Tech Training and Vision Expo in Kansas City, Herzberg Smith said predictability comes from systems, leadership and culture that can be repeated across locations. Businesses that rely too heavily on a single owner or a few key employees carry higher risk and lower value.

    “If you’re working in the business and you are a critical person,” he said, “the business is heavily reliant on you.”

    Investors look for reduced dependence risk, including diversified customers, multiple suppliers and leadership depth, Herzberg Smith noted. Heavy reliance on one fleet account or one star technician can quickly undermine stability.

    Culture also plays a central role in acquisition decisions. Investors, Herzberg Smith said, are wary of businesses with internal conflict or behaviour problems, regardless of short‑term profits.

    “Culture is at the top of the acquisition checklist,” he emphasized.

    Operational maturity is another key factor. Investors expect documented systems and standard operating procedures that reflect how the business actually runs.

    “Do you have SOPs?” Herzberg Smith noted as a question that will be asked. “Where are they?”

    Those systems do not need to be perfect, but they must be real, current and followed consistently. Shops that rely on informal or “tribal” knowledge are difficult to scale or integrate, Herzberg Smith explained.

    He also emphasized the importance of recurring revenue and stable margins. Businesses that can forecast demand and manage seasonality are more attractive than those that rely on whatever work happens to arrive.

    “Predictability beats growth,” Herzberg Smith said, noting that investors value steady performance over rapid but uneven expansion.

    Leadership development and talent pipelines also factor heavily into valuations. Investors want to see that people are being trained and developed, not just managed day to day.

    “Human centricity works in every industry,” Herzberg Smith said.

    Shops that focus on people, systems and consistency tend to outperform competitors over time and are better positioned to attract capital.

    “If you dial this stuff in,” Herzberg Smith said, “you have more resources and more opportunity than the rest of the competition.”
